Terms of Service.

1. Acceptance

By accessing or using the Kidaboard mobile applications, admin console, or website (together, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a school district, you represent that you have the authority to bind that district to these Terms.

2. The service

Kidaboard is a school-bus tracking platform that allows authorized drivers to record when students board and exit a school bus, allows parents and guardians to receive corresponding notifications and view live bus status, and allows district administrators to oversee operations. Specific features are described at kidaboard.com and may evolve over time.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you believe your credentials have been compromised.

Accounts are created and authorized through your school district. Guardian accounts are linked to specific students only after verification by an administrator.

4. Acceptable use

You agree not to:

  • Access or attempt to access data belonging to another district, school, or guardian
  • Impersonate another user
  • Use automated systems to scrape, mine, or otherwise extract data from the Service
  • Probe, scan, or test vulnerabilities without written authorization from Kidaboard
  • Use the Service in violation of applicable law

5. Data & privacy

Our handling of personal information is governed by our Privacy Policy. For districts, a Data Processing Addendum governing FERPA, COPPA, and similar obligations is incorporated by reference into your district's agreement with Kidaboard.

6. District agreements supersede

If your school district has entered into a separate written agreement with Kidaboard, that agreement governs the provision of the Service to your district and supersedes these Terms to the extent of any conflict.

7. Intellectual property

Kidaboard and its licensors retain all right, title, and interest in and to the Service, including all software, content, and trademarks. You retain all rights to content you or your district provide. You grant Kidaboard a limited license to process that content for the sole purpose of operating the Service.

8. Fees

Where a Kidaboard subscription has been purchased by a district, pricing and payment terms are set out in the district agreement. Individual guardian and driver accounts are provided at no cost to those individuals.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. Kidaboard makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Kidaboard is a supplement to - not a replacement for - your district's operational protocols. Parents, drivers, and administrators should continue to follow their district's established safety procedures.

10. Limitation of liability

To the maximum extent permitted by law, Kidaboard's total liability to you for any claim arising out of or relating to the Service is limited to the fees actually paid by your district to Kidaboard in the twelve months preceding the claim. Kidaboard is not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold Kidaboard harmless from claims arising out of your misuse of the Service or your violation of these Terms.

12. Termination

We may suspend or terminate accounts that violate these Terms or that pose a security or privacy risk. Districts may terminate their subscription in accordance with their district agreement. On termination, we will delete associated data according to the retention schedule in our Privacy Policy or as otherwise agreed with the district.

13. Changes

We may update these Terms from time to time. Material changes will be noticed by email and on kidaboard.com. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Delaware.
